Mocap ATLAS Asset License Agreement

This Mocap Atlas Asset License Agreement ("Agreement") is a legal agreement between you ("Buyer" or "Licensee") and Quantum Stage GmbH, Schlachthofstrasse 8, 8406 Winterthur, Switzerland ("Seller", "Licensor", "Quantum Stage", "we", "us", or "our").

This Agreement governs all motion capture animation products, animation files, reference media, preview media, documentation, bundle files, and related digital assets purchased, downloaded, or accessed through mocapATLAS.com ("Mocap Atlas Products").

By purchasing, downloading, accessing, or using any Mocap Atlas Product, you agree to be bound by this Agreement. If you do not agree to this Agreement, do not purchase, download, copy, install, or use the Mocap Atlas Products.

1. Definitions

"Mocap Atlas Products" means any digital product or set of files made available by Quantum Stage GmbH through mocapATLAS.com, including but not limited to FBX, BVH, C3D, prepared animation files, retargeted animation files, reference videos, preview media, documentation, readme files, and bundle ZIP files.

"Final Project" means a game, film, video, application, simulation, virtual production, visualization, interactive experience, rendered sequence, or similar finished work that incorporates the Mocap Atlas Products in a compiled, rendered, embedded, or otherwise non-extractable form.

2. Scope of License

This Agreement applies to all Mocap Atlas Products and all buyers of Mocap Atlas Products, regardless of product price, discount, sale campaign, bundle pricing, file format, product variant, or purchase platform, unless a separate written agreement signed by Quantum Stage GmbH expressly states otherwise.

Subject to full payment of the applicable purchase price and compliance with this Agreement, Quantum Stage GmbH grants you a limited, worldwide, perpetual, non-exclusive, non-transferable, non-sublicensable license to use the purchased Mocap Atlas Products for personal, educational, internal, professional, and commercial production purposes.

This license does not constitute a sale or transfer of ownership, copyright, neighboring rights, database rights, performance rights, personality rights, source data rights, or any other intellectual property rights.

3. Permitted Uses

You may:

  • Use the purchased Mocap Atlas Products in your own Final Projects.
  • Use the Mocap Atlas Products in commercial and non-commercial games, films, videos, animations, applications, simulations, prototypes, previs, VFX, virtual production, and client productions.
  • Import, edit, trim, clean, retarget, rename, convert, compress, and adapt the files for your own production pipeline.
  • Use the assets with animation state machines, blend trees, motion matching, runtime pose search, runtime animation selection, inverse kinematics, procedural animation systems, and similar non-generative production systems.
  • Distribute Final Projects that incorporate the Mocap Atlas Products in compiled, rendered, embedded, or otherwise non-extractable form.
  • Allow employees, contractors, collaborators, or clients to access the purchased Mocap Atlas Products only as necessary to work on your own Final Project, provided they are bound by restrictions at least as protective as this Agreement.

4. Restrictions

You may not:

  • Sell, resell, sublicense, rent, lease, assign, transfer, distribute, publish, upload, share, or otherwise make the Mocap Atlas Products available to any third party as standalone files, source files, animation clips, motion capture data, datasets, asset packs, templates, libraries, or downloadable resources.
  • Include the Mocap Atlas Products in any software, asset pack, marketplace product, stock media product, template, plugin, tool, library, dataset, or service where third parties can access, extract, export, download, or reuse the animation data.
  • Upload the Mocap Atlas Products to public repositories, file-sharing services, stock media platforms, asset marketplaces, training datasets, or any other platform that enables third-party access to the files.
  • Claim ownership of the original Mocap Atlas Products or represent that you created, captured, or own the original motion capture data.
  • Remove copyright notices, license notices, readme files, attribution notices, metadata notices, or other ownership information included with the files.

5. AI, Machine Learning, and Dataset Restrictions

You may not use the Mocap Atlas Products, modified versions of the Mocap Atlas Products, extracted motion data, derived motion data, reference footage, metadata, or any substantially similar dataset created from the Mocap Atlas Products to train, fine-tune, validate, benchmark, test, improve, or develop any artificial intelligence system, machine learning model, neural network, generative model, motion-generation system, animation-generation system, pose-generation system, or similar automated model.

This restriction applies whether the use is direct, indirect, commercial, internal, experimental, private, public, open source, research-based, or non-commercial.

For clarity, this restriction does not prohibit ordinary non-generative production use in motion matching systems, runtime animation playback systems, animation state machines, blend trees, retargeting tools, inverse kinematics tools, or runtime pose search systems, provided that the Mocap Atlas Products are not used to train, fine-tune, validate, benchmark, or improve an AI or machine learning model.

Any AI, machine learning, dataset, training, fine-tuning, synthetic data, or generative use requires a separate written license from Quantum Stage GmbH.

6. Reference Footage and Preview Media

Reference footage, preview videos, thumbnails, product videos, and similar media may display visible actors or performers. Such media is provided only for evaluation, demonstration, instructional, review, and production-reference purposes.

You may view reference footage for internal reference when working with the purchased animation data. You may not copy, publish, redistribute, resell, modify, repackage, use, or include reference footage, preview videos, thumbnails, or actor footage in any Final Project, marketing material, promotional content, training dataset, public archive, or third-party deliverable unless Quantum Stage GmbH has granted separate written permission.

7. Ownership

All Mocap Atlas Products remain the sole property of Quantum Stage GmbH and/or its licensors. All rights not expressly granted in this Agreement are reserved by Quantum Stage GmbH. Nothing in this Agreement shall be construed as a transfer or assignment of intellectual property rights.

8. Term and Termination

This Agreement is effective from the date of purchase and remains in effect perpetually unless terminated. If you breach any provision of this Agreement, the license terminates automatically without notice, and you must immediately stop using and delete all copies of the Mocap Atlas Products.

Sections that by their nature should survive termination shall survive, including but not limited to restrictions, ownership, AI and machine learning restrictions, reference footage restrictions, warranty disclaimers, limitation of support, and governing law.

9. Refunds

Due to the digital nature of the Mocap Atlas Products, refunds are limited. Refunds or exchanges may be considered if the product does not match the technical specifications stated at the time of sale, if required files are missing and cannot be corrected, or if the Buyer purchased the wrong product and requests an exchange.

Refund or exchange requests must be submitted with proof of purchase and a clear description of the issue.

10. Warranty

The Mocap Atlas Products are provided "as-is" without warranty of any kind. While Quantum Stage GmbH strives to ensure product quality, Quantum Stage GmbH makes no warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

Quantum Stage GmbH will make reasonable efforts to address missing files or technical delivery issues if reported with sufficient detail and proof of purchase.

11. Maintenance and Support

Quantum Stage GmbH does not provide ongoing maintenance, updates, customization, integration support, retargeting support, or technical support unless otherwise agreed in writing.

12. Governing Law and Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of the Canton of Zurich, Switzerland, without regard to its conflict of law principles.

The Buyer agrees to submit to the exclusive jurisdiction of the courts located in Zurich, Switzerland for any disputes arising out of or related to this Agreement. The United Nations Convention on Contracts for the International Sale of Goods (CISG) is expressly excluded.
